  1. Disclaimer of liability

2.1 Equipment Tutor Training and Certification Ltd. shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, your or your company’s personal information or material and information transmitted over our system. In particular, neither the website owner nor any third party or data or content provider shall be liable in any way to you or any other person, firm or corporation whatsoever for any loss, liability, damage (whether direct or consequential), personal injury or expense of any nature whatsoever arising from any delays, inaccuracies, errors in, or omission of any share price information or the transmission thereof, or for any actions taken in reliance thereon or occasioned thereby or because of non-performance or interruption, or termination thereof.

  1. Use of our Website

3.1 By accessing our website and any affiliated or connected websites, you warrant and represent to Equipment Tutor Training and Certification Ltd. that you are legally entitled to do so and to use the information made available via the website.

3.2 All customers will have access to the training material for a limited period, equal to the expiration date of the standard of training.

4.1 Equipment Tutor Training and Certification Ltd. owns all course presentations.
By purchasing our courses, you agree that you have no right or title in or to any such content, including without limitation any other attributes associated with any Account or stored on the Service.

  1. Terms of Payment

5.1 Full payment is required before receiving access to any of our online course material. Our refund policy will dictate all refunds and credit requests without exception.

  1. Trademarks

6.1 The trademarks, names, logos and service marks (collectively “trademarks”) displayed on this website are registered and unregistered trademarks of Equipment Tutor Training and Certification Ltd. Nothing on this website should be construed as granting any license or right to use any trademark without the prior written permission of Equipment Tutor Training and Certification Ltd.

  1. Warranties

7.1 Equipment Tutor Training and Certification Ltd. makes no warranties, representations, statements or guarantees (whether express, implied in law or residual) regarding the website or the contents accessible through the website or any other affiliated or subsidiary website, including user areas and course content.

  1. Account Suspension/Deletion

8.1 Equipment Tutor Training and Certification Ltd. may suspend, modify, terminate or delete any account at any time for any abuse of our system, including a violation of these Terms and Conditions or working for or with direct competing companies or their affiliate programs.

8.2 These accounts will not be reactivated, and no refunds will be issued.

  1. Conflict of terms

9.1 If there is a conflict or contradiction between the provisions of these website terms and conditions and any other relevant terms and conditions, policies or notices, the other relevant terms and conditions, policies or notices which relate specifically to a particular section or module of the website shall prevail in respect of your use of the relevant section or module of the website.

  1. Severability

10.1 Any provision of any relevant terms and conditions, policies and notices, which is or becomes unenforceable in any jurisdiction, whether due to being void, invalidity, illegality, unlawfulness or for any reason whatever, shall, in such jurisdiction only and only to the extent that it is so unenforceable, be treated as void and the remaining provisions of any relevant terms and conditions, policies and notices shall remain in full force and effect.

  1. We reserve the right to select our customers.

11.1 Our support services, including, without limitation, email support, feedback/review collection or toll-free phone support, are offered to our customers for free. We reserve the right to deny our services to angry/rude customers or those imposing political views, hate speech or other offensive or derogatory remarks toward our staff.

  1. Applicable laws

12.1 The laws of Canada shall govern the use of this or any affiliated website, regardless of the laws applicable under principles of conflicts of law. The parties agree that the Provincial courts located in Canada shall have exclusive jurisdiction over all controversies arising under this agreement and agree that the venue is proper in those courts.

  1. Refund Policy

13.1 All purchases made through our website are considered final.

13.2 All customers agree to these conditions in the checkout process by accepting the Terms and Conditions presented.

  • Reasons that entitle a customer to obtain a full refund:

13.3.1 After reasonable troubleshooting, we determined that a technical error caused by Equipment Tutor’s technical infrastructure (website, platform, LMS, etc.) is restricting access to the purchase.

  • The product received by the customer is a different product than the one advertised on the product page.
  • The customer has purchased a different quantity than the intended purchase. (*)

(*) If the customer is trying to abuse our refund system and because there are many costs associated with the purchase, Equipment Tutor Training and Certification Ltd. reserves the right to deny refund claims for incorrect quantities purchased.

13.4 Reasons that do not entitle a customer to obtain a refund:
13.4.1 The customer decides the course is no longer needed or is not wanted.
13.4.2 The course did not meet customers’ expectations.
13.4.3 The customer does not have sufficient expertise to take a class.
13.4.4 An employer/union prefers a different type of training.

  • Information needed to process a refund:
    • Transaction ID.
    • The customer’s identification (First Name, Last Name and Email address) of the transaction ID must match the details in the contact form – only the customer can initiate a refund request.
    • A valid reason, as described above, that entitles the customer to execute their Terms and Conditions rights.
    • We process all refunds via the original payment method.
    • Once a refund is processed, the customer will lose access to the services. In addition, the account will be permanently deleted from our system if there are no other pre-existing certificates.
    • To request a refund, please send us an email with the required information at contact@equipment-tutor.com.
  1. Equipment Tutor Reseller Terms of Service
  • Effective Date: The Agreement becomes effective on the date the Reseller registers for the service and clicks ‘I Agree.’
  • By registering for a reseller account or purchasing a reseller package, you (“Reseller”) agree to be bound by these Terms of Service (“Agreement”) with Equipment Tutor Training and Certification Ltd. (“Service Provider”).
  • If you are entering this Agreement on behalf of a company, you represent that you are authorized to bind that company.
  • 1. License and Grant of Rights
    • Service Provider grants Reseller a limited, non-exclusive, non-transferable, revocable license to market, promote, and sell Service Provider’s online courses (“Courses”) solely through Reseller’s assigned website.
    • Reseller may not sublicense, assign, or transfer its rights without prior written consent. Unauthorized transfers may result in immediate termination, forfeiture of commissions, and liquidated damages of USD $100,000 per violation.
    • Sales are permitted globally unless otherwise restricted by law or by Service Provider.
  • 2. Course Catalogue and Pricing
    • Courses available for resale include all training programs made available by Service Provider and selected by Reseller.
    • Pricing is determined by Service Provider and may change with notice.
    • Reseller may request price adjustments, but changes require Service Provider’s prior written approval.
    • Unauthorized pricing changes may result in withheld commissions, corrective invoicing, suspension, or termination.
  • 3. Fees and Payments
    • Reseller pays CAD $199 per month in advance. This covers licensing rights, hosting, backups, and maintenance of the reseller site (branding updates or custom changes may be billed separately).
    • Service Provider collects all end-user payments and remits 25% of gross revenue from Reseller sales monthly.
    • Commissions are paid within 10 days after each month’s end, with annual sales reporting provided.
    • Reseller may request an independent audit of financial records once per year (at its cost unless discrepancies exceed 5%).
  • 4. Term and Termination
    • Agreement lasts 12 months and automatically renews for successive 12-month terms.
    • Either party may terminate with 60 days’ notice after the initial term.
    • Either party may terminate immediately for material breach if not cured within 30 days.
    • Upon termination, Reseller must stop promoting and selling Courses. Any unpaid commissions will be settled within 30 days.
  • 5. Intellectual Property
    • All copyrights, trademarks, and proprietary rights in the Courses and reseller website remain the exclusive property of Service Provider.
    • Reseller may only use trademarks, logos, and content as authorized under this Agreement.
    • Unauthorized reproduction or derivative works are prohibited.
  • 6. Confidentiality
    • Each party agrees to protect the other’s non-public information (“Confidential Information”) and use it only as required under this Agreement.
    • Obligations continue during the Agreement and for five (5) years after termination.
  • 7. Indemnity
    • Reseller will indemnify and hold harmless Service Provider against claims arising from unauthorized representations, misuse of Courses, or breach of this Agreement.
    • Service Provider will indemnify Reseller against claims that the Courses infringe third-party intellectual property rights.
  • 8. Limitation of Liability
    • Service Provider’s liability is limited to the total fees paid by Reseller in the 12 months preceding any claim.
    • Service Provider is not liable for indirect, incidental, or consequential damages, including lost profits.
  • 9. Non-Solicitation
    • During the Agreement and for five (5) years after termination, Reseller may not solicit Service Provider’s customers or employees for competing services.
  • 10. Exclusivity
    • This Agreement is non-exclusive. Service Provider may sell directly or appoint other resellers.
  • 11. Restrictions on Third-Party Reselling
    • Reseller may not resell or distribute Courses through third-party websites, platforms, or resellers without prior approval.
    • Violations may result in termination and liquidated damages of USD $100,000 per violation.
  • 12. Legal Costs
    • In any dispute, the prevailing party may recover reasonable legal fees and costs.
  • 13. Notices
    • Notices must be delivered personally, by confirmed email, or by registered mail to the addresses provided by each party during registration.
  • 14. Governing Law
    • This Agreement is governed by the laws of Alberta, Canada, without regard to conflict-of-law principles.
  • 15. Acceptance of Terms
    • By clicking ‘I Agree’ during registration or checkout, you acknowledge that:
      • You have read and understood these Terms.
      • You are authorized to bind your organization.
      • This creates a valid, binding contract between you and Service Provider, effective as of the date of registration.
